ニッポン放送の新株予約権差し止め請求についてちょっと
なんかどこかのコメンテーターが、このことでライブドアの株取得の経緯が問題になるからニッポン放送有利だとか言っていたけど、はっきり言ってわけがわからない。
フジテレビはもともと筆頭株主でもないし親会社でもなんでもないわけで、それに対して経営権を付与するために新株予約権を発行するということは、ライブドアの議決権を下げる手段としてどこにも正当性がない。ライブドアの株取得の経緯を問うならば、単純にライブドアの議決権を奪う法的手段をとるべきであって、第三者に新株を発行して比率を薄めるという戦術的手段による必要性はなく、よって、この新株予約権の発行自体の正当性しか問われないべきだ。ライブドアの株取得の経緯などを総合的に判断してもらうなどと、司法を馬鹿にするような発言をするのは頭に来る。
我々投資家は、会社自体を売買している。その要素として、議決権の比率というのは非常に重要な要素であって、会社の資産価値を分割して売買しているわけでは決してない。株式には会社の支配権がついているものであって、それ会社役員が第三者に勝手に引き渡すというのは背任的行為であり、今回の件でこのような比率の新株予約権の発行が認められるとしたらとんでもないことだ。裁判に負けることも想定してやっていることなのだろうが、一度でも社会的に大きな影響を持つ企業のトップがこのようなことを言い出した以上は、相応の強烈な非難を浴びるべき行動だと思う。
